AN ACT to repeal the Apia Park Board Ordinance 1953 and to establish a Board to be called the Apia Park and Sports Facilities Board to control, manage and administer the Apia Park Sports Complex and other facilities established elsewhere and given to the Board to control, manage and administer.

BE IT ENACTED by the Legislative Assembly of Western Samoa in Parliament assembled as follows:-


1. Short title and commencement-(1) This Act may be cited as the Apia Park and Sports Facilities Board Act 1995.


(2) This Act shall come into force on the date which it is assented to by the Head of State.


2. Interpretation-In this Act unless the context otherwise requires –


"Board" means the Apia Park Board established under this Act:


"Financial Year" means a period of twelve months commencing from the 1st day of July in any year and ending on the 30th day of June in the next ensuing year:


"Controller and Chief Auditor" means the person appointed to pursuant to Article 97 of the Constitution of the Independent State of Western Samoa:


"General Manager" means the person appointed by the Board as such under section 14 of this Act:


"Member" means any member of the Board:


"Minister" means the Minister for Youth, Sports and Cultural Affairs.


PART I
THE BOARD


3. Establishment of the Board-(1) There is hereby established a Board as constituted under section 4 of this Act.


(2) The Board shall be a corporate body under the name of the Apia Park Board with perpetual succession and a common seal with full power and authority by that name to sue and be sued in all Courts whatsoever and shall be capable in law but subject to this Act for doing or suffering all such acts and things as a body corporate may do or suffer.


4. Constitution of the Board -The Board shall consist of –


(a) The Minister who shall be the Chairperson:


(b) The Secretary of Youth, Sports and Cultural Affairs:


(c) Seven other members appointed by the Head of State on the advice of Cabinet. The Head of State shall in making appointment under this section appoint one person who shall be a representative from the Western Samoa Sports Federation:


(d) The General Manager appointed by the Board who shall be Secretary for the Board:


(e) The Deputy Chairperson shall be elected annually from the persons who hold office under paragraph (b) and (c) of this section.


5. Term of Office-(1) The powers of the Board shall not be affected by any vacancy in its membership.


(2) Board members be appointed by the Head of State on the advice of Cabinet shall hold office for a period of three (3) years.


(3) If any member of the Board dies, resigns, or is removed from Office the person appointed to fill the vacancy so created shall, subject to subsection 4 of this section hold office for the balance of the term of the original appointment.


(4) Unless he sooner vacates office otherwise than by afflux ion of time, every member of the Board shall continue to hold office until his or her successor comes into office, notwithstanding that the term for which he or she was appointed may have expired.


6. Removal of member from Office - (1) Not withstanding section (5) (2) of this Act, any appointed member of the Board may at any time be removed from Office by the Head of State on the advice of Cabinet for disability, neglect of duty, misconduct or is absent from three (3) consecutive meetings of the Board without leave from the Board may at any time resign his or her office by writing addressed to the Chairperson.


(2) An appointed member may at any time resign his or her office by writing addressed to the Chairperson.


7. Meetings-(1) Meetings of the Board shall be held at such time and place as the chairperson appoints.


(2) The chairperson shall call a meeting whenever required to do so in writing by any three (3) members. In the absence of the chairperson from Western Samoa the deputy chairperson shall call a meeting whenever required to do so in writing by any three (3) members.


(3) The Board shall meet together for the dispatch of business, and from time to time make such orders with respect to the summoning, notice, place, management, and adjournment of such meetings, and generally with respect to the transaction and management of its business, as it thinks fit, subject to the following conditions:-


(a) No business shall be transacted at any meeting unless at least five (5) members are present:


(b) All questions shall be decided by a majority of the votes of the members present.


8. Absence of Chairperson-If at any meeting the Chairperson is not present, the Deputy Chairperson shall act as Chairperson and if the Deputy Chairperson is also absent from such meeting then the members present shall choose someone of their members to be the Chairperson of the meeting.


9. Chairperson to have casting vote-In case of an equality of votes at any meeting, the Chairperson for the time being of such meeting shall have a second or casting vote.


10. Establishment and Delegation of powers to Committee-(1) The Board may delegate any of its powers to committees consisting of such member or members of the Board as it thinks fit.


(2) Any committees so formed shall, in the exercise of the powers delegated, conform to any directions that may be given to it by the Board.


11. Chairperson of Committee- A Committee may elect a Chairperson for its meetings. If no such Chairperson is elected or if he or she is not present at the time appointed for holding any meeting, the members present shall choose one of their number to be the Chairperson of that meeting.


12. Committee Meetings-(1) A committee may meet and adjourn as it thinks proper.


(2) Questions at any committee meeting shall be determined by a majority of the votes of the members present, and in case of an equal division of votes the Chairperson shall have a second or casting vote.


13. Minutes of Meetings-(1) The Board shall cause minutes to be made in books provided for the purpose and record the following details in such books –


(a) officers appointed by the Board:


(b) the name of members present at each meeting of the Board:


(c) all orders made by the Board and committees of the Board:


(d) all resolutions and proceedings of meetings of the Board and committees of the Board.


(2) Any such minutes, if signed by the Chairperson and the Secretary of the Board or Committee of the Board, shall be receivable in evidence without any further proof.


14. Board may appoint employees and contractors-(1) The Board may from time to time appoint a General Manager and such other officers and employees to carry out the functions of the Board at such renumeration, terms and conditions deemed fit by the Board.


(2) The General Manager shall be the Chief Executive Officer of the Board and shall be responsible to the Board for the effective and efficient execution of the Board's functions.


(3) No member of the Board shall be capable of holding the office of General Manager unless such member holds the office without renumeration.


(4) The Board may employ any person on a contract for services to carry out the functions of the Board at such renumeration terms and conditions determined by the Board where the Board thinks it fit to do so and such functions cannot be carried out or executed by the General Manager or other employees of the Board.


15. Replacing officers-During the absence from duty of any officer of the Board by reason of illness, leave of absence, or other cause the duties and powers of such officer may be performed and exercised by an acting officer appointed by the Board, and such appointment may be either general or for a particular occasion only.


16. Security from officers handling money-Before any officer appointed and entrusted by the Board with the custody or control of money by virtue of his or her office enters the duties of his or her office the Board shall take such sufficient security from him or her and require such measures determined by the Board to ensure the faithful execution of his or her duties as the Board thinks fit.


17. Board may supply offices-The Board may from time to time provide offices with fittings and furniture for executing or carrying out any business of the Board and for the use of its officers.


18. Board and employees non-liability - The Board, its committees and employees shall not be liable for any act or omission done in good faith in carrying out any function or duty of the Board.


PART II
FINANCIAL PROVISIONS


19. Revenue of the Board-The revenue of the Board shall consist of -


(a) All money received by way of fees, rent of land or property under the control of the Board:


(b) All money received as ground fees for the playing of games on the park:


(c) All money as may be appropriated by Parliament for the Board, or from by any person or body or from any public subscriptions or donations:


(d) All money received by the Board for the use of the park or appurtenances there to:


(e) All money received from the sale or disposal of any property of the Board:


(f) All money received from any form of advertising at the Park and from rights granted to televise or broadcast any games or functions at the Park:


(g) All other moneys which may become the property of the Board.


20. Moneys to be paid into Bank-(1) All money belonging to the Board shall, be paid into such bank as the Board from time to time establishes.


(2) The Board may, if it thinks fit, pay into a separate bank account all money accruing from any business undertaken by the Board or money appropriated and held by it for any special purpose.


(3) The Board may, if it thinks fit keep such separate accounts in its books as it deems necessary and all such separate accounts shall be audited as required under section 25 of this Act.


(4) Subject to the provisions of this Act, the Board may from time to time borrow or raise funds required by it for meeting any of its obligations or discharging any of its functions and may secure the repayment of such funds in any manner authorised by this or any other Act.


21. How moneys to be withdrawn from bank-No money shall be drawn out of the Bank except by authority of the Board and all moneys shall be paid by cash or by cheque signed by persons authorised by the Board from time to time.


22. Board may pay travelling expenses-It shall be lawful for the Board, if it thinks fit to pay to any member thereof the amount reasonably and actually expended by him or her by way of travelling expenses in attending the meetings of the Board or in respect of his or her attendance to any business of the Board when authorised to do so by the Board.


23. Power of Board to settle claims-The Board shall have power to compound with any person for such sum of money or other recompenses as it thinks fit in respect of the breach of any contract or of any penalty incurred thereunder or of any debt due by or to the Board or of any damage done by the Board or its servants or to submit any such matter to arbitration, whether before or after any action or suit is brought for or in respect of the same.


24. Application of Board moneys -All moneys received by the Board by way of revenue shall be applied in exercising the powers hereby granted to or vested in the Board, including the establishing, managing, administering, developing and improving of the Park, generally in carrying into execution the purposes and objects or this Act in such manner as the Board in its absolute discretion thinks fit.


25. Board to keep proper accounts-(1) The Board shall keep full and correct accounts of all moneys received and expended by it and of its assets and liabilities and shall as soon as reasonably practicable after the end of every financial year cause to be prepared a balance sheet together with a statement of income and expenditure for that year.


(2) All accounts of the Board shall be audited by the Controller and Chief Auditor or such other auditor approved by the Controller and Chief Auditor who for that purpose shall have any and may exercise all such powers available to the Controller and Chief Auditor under any enactment.


(3) All moneys of the Board not required for immediate use shall be invested in bank accounts and such other securities authorised by the Board.


26. Annual Report - The Board shall after each financial year furnish to the Legislative Assembly a report of its proceedings and operations during the previous financial year and a copy of the Annual Accounts duly audited.


PART III
FUNCTIONS AND POWERS OF BOARD


27. Control of Park-Subject to the provisions of this Ordinance, the care, control and management of the Park shall vest in the Board.


28. Purpose for which Board may permit the Park to be used-


The Board shall in its absolute discretion and at such times as it thinks fit make the Park available for such sports, exhibitions, amusements, recreation, entertainment, cultural, religious or other activities as the Board may from time to time deem expedient or desirable.


29. Functions of Board-The functions of the Board shall be –


(a) To administer, manage, control and promote the Apia Park Sports Complex, and any other facilities established elsewhere over which the Board has control:


(b) To foster support and undertake provision of facilities for sport and recreation elsewhere in Western Samoa:


(c) To promote the utilisation of sport and recreational facilities under the control of the Board:


(d) To examine and consider any existing or proposed policies relating to sport and recreation and utilisation of land, construction of facilities, for recreational purposes:


(e) To develop any land granted to or owned by the Board or other property given to or belonging to the Board and to erect and maintain buildings or other structures for sport or recreation:


(f) To enter into agreement with sports bodies, corporation, society, firm or person for the management of any buildings or facilities for purposes of this Act:


(g) To charge such fees for admission to land or buildings under its control, or any activity promoted, arranged or controlled by it.


30. Particular powers- The Board may, in addition to any other powers vested in it by this Act exercise or use any of the following powers. The Board may –


(a) Appropriate and use any portion of the Park as sites for residences for park managers or other officers and employees of the Board:


(b) Erect or authorise the erection in the park or pavilions, dressing sheds, or other buildings and facilities to be used by athletic clubs or sporting bodies, or for lease for the general public as it deems fit:


(c) Erect or authorise the erection or public conveniences or other buildings or facilities for the use of the public in the Park:


(d) Assist in the establishment or provision by any other person or body of buildings, convenience and facilities in the Park:


(e) Establish and maintain recreation areas within the Park as it from time to time decides:


(f) Charge such fees for admission to land or buildings under its control, or any activity promoted, arranged or controlled by it:


(g) Generally to do all acts and things necessary for the maintenance improvement and development of the Park:


(h) Make such charges as it from time to time decides for the use of the Park or the use of defined areas of the Park or any buildings conveniences, facilities, or recreation grounds under the control of the Board and for any services provided by the Board.


31. Board may make by-laws-(1) The Board may by special resolution make by-laws for all or any of the following purposes:-


(a) The management, safety and preservation of the native flora within any land or area under the control of the Board:


(b) The keeping of order in Apia Park:


(c) Excluding the public from any specified part or parts of the Apia Park:


(d) Prescribing the conditions on which persons or bodies shall have access to or be excluded from the Park or any part thereof and fixing charges for the admission of persons to any part of the Park.


(2) By-laws made by the Board shall not come into force until they have been approved by Cabinet and assented to by the Head of State and have been published in the Western Samoa Gazette and the Savali.


(3) Any by-laws made under this section shall come into force on a date to be specified therein in that behalf (whether before or after the date on which they are made) and if no such date is specified then they shall come into force on the date of their notification in the Western Samoa Savali.


(4) All by-laws made under this section shall be laid before the Legislative Assembly within twenty eight (28) days after the making thereof if the Assembly is then in session or if not then they shall be laid before the Assembly with twenty eight (28) days after the commencement of the next ensuing session.


32. Penalty for breach of by-laws- Every person who commits a breach of any by-laws (for which the Board has not specified a fine or penalty) under this Act commits an offence and shall upon conviction be liable to a fine not exceeding one thousand tala ($1,000.00).


MISCELLANEOUS PROVISIONS


33. Disestablishment of the Apia Park Board -The Apia Park Board shall be disestablished and cease to exist on the day upon which the Apia Park and Sports Facilities Board holds its first meeting.


34. Assets and Liabilities of the Apia Park Board-All assets and liabilities of the Apia Park Board existing on the day upon which it is disestablished shall pass to and vest in the Apia Park and Sports Facilities Board.


35. Consequential Repeal-The Apia Park Board Ordinance 1953 shall be repealed on the day upon which this Act comes into force.
