Companies (Amendment No 1) Act 1999

TONGA

COMPANIES (AMENDMENT NO. 1) ACT 1999
No. 5 of 1999.

I assent,

AN ACT
TO AMEND THE COMPANIES ACT 1995

[1st July, 1999].

BE IT ENACTED by the King and Legislative Assembly of Tonga in the Legislature of the Kingdom as follows:

1. (1) This Act may be cited as the Companies (Amendment No. 1) Act 1999.

(2) The Companies Act 1995 is in this Act referred to as the Principal Act.

2. Section 366 of the Principal Act is amended by deleting sub-section (1) and substituting therefor the following:

"(1) There shall be -

(a) a Registrar of Companies; and

(b) as many Deputy and Assistant Registrars of Companies as may be necessary for the purposes of this Act -

each to be appointed by the Prime Minister with the consent of Cabinet".

3. (1) Clause 1 of the Tenth Schedule to the Principal Act is amended by deleting the definition of the term "transition period" and substituting therefor the following:

""transition period", in relation to an existing company, means the period beginning on the day proclaimed that the Tenth Schedule is to come into force and ending 12 months after that day".

(2) Clause 3(1)(b) of the Tenth Schedule to the Principal Act is amended by deleting the words "in the prescribed form".

2. 'Oku fakatonutonu 'a e kupu 366 'o e Tefito'i Lao 'aki hono tamate'i 'a e kupu-si'i (1) pea fetongi'aki 'eni:

"(1) Kuo pan ke 'i ai -

(a) ha Failesisita 'o e Ngaahi Kautaha; mo

(b) ha kau Tokoni Failesisita pe Failesisita Tokoni 'o e Kautaha 'i he tokolahi ko is 'e fiema'u ki he ngaahi taumu 'a 'o e Lao ni-

'a is 'e fokotu'u takitaha kinautolu 'e he Palemia 'i he loto ki ai 'a e Kapineti".

3. (1) 'Oku fakatonutonu 'a e Tepile Hongofulu 'o e Tefito'i Lao 'aki hono tamate'i 'a e faka'uhinga'i 'o e fo'i lea "vaha'a taimi fakahoko" pea fetongi'aki 'eni:
